Terms of Service for Modario

Welcome to Modario. These Terms of Service (“Terms”) govern your access to and use of the Modario mobile application, website, and related services (collectively, the “Service”), operated by Modario LLC (“Modario,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least sixteen (16) years old to use the Service.

By using the Service, you represent and warrant that:

• You are at least sixteen years old;
• You have the legal capacity to enter into these Terms;
• Your use of the Service complies with applicable laws and regulations.

We reserve the right to suspend or terminate accounts that do not satisfy these requirements.

3. Description of the Service

Modario provides tools and features that may include:

• Wardrobe management
• Clothing organization
• Outfit planning
• Outfit recommendations
• AI-powered fashion insights
• Outfit visualization
• Event planning
• Social and community features
• Public and private sharing features
• Marketplace, affiliate, sponsored, and partner experiences
• Premium subscription services

Features may change, be modified, or be discontinued at any time.

4. Account Registration

You may create an account using:

• Apple Sign In
• Google Sign In
• Email and password authentication
• Other authentication methods we may support in the future

You are responsible for:

• Maintaining account security
• Protecting login credentials
• All activity occurring under your account

You agree to notify us promptly if you suspect unauthorized access.

5. User Content

“User Content” means any content you upload, submit, create, share, transmit, or otherwise make available through the Service, including:

• Images
• Wardrobe photographs
• Selfies
• Full-body photographs
• Outfit content
• Event content
• Profile information
• Comments
• Messages
• Other materials

You retain ownership of your User Content.

You represent and warrant that:

• You own or control all rights necessary to provide the content;
• Your content does not infringe any third-party rights;
• Your content complies with applicable laws and these Terms.

6. License Granted to Modario

To operate the Service, you grant Modario a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

• Host
• Store
• Reproduce
• Modify
• Process
• Display
• Distribute
• Analyze

your User Content solely for purposes related to:

• Providing the Service
• Operating social features
• Generating recommendations
• Performing AI processing
• Improving functionality
• Maintaining security
• Marketing publicly shared content as described below

This license ends when the content is deleted from our systems, except where retention is required for legal, security, backup, or compliance purposes.

7. Publicly Shared Content

If you choose to publicly share content, participate in public events, or make content available through public links, you grant Modario the right to:

• Display such content within the Service;
• Promote publicly shared content;
• Use publicly shared content in marketing materials;
• Use publicly shared content in social media promotions;
• Feature publicly shared content in demonstrations, screenshots, promotional materials, and advertisements.

We will not claim ownership of your content.

8. Artificial Intelligence Features

The Service may use artificial intelligence technologies to:

• Analyze wardrobe items
• Identify clothing
• Generate recommendations
• Create outfit visualizations
• Generate avatars and previews
• Produce fashion insights
• Improve user experiences

You acknowledge that:

• AI-generated content may contain inaccuracies;
• Recommendations are informational only;
• AI outputs should not be relied upon as professional advice;
• Third-party AI providers may process content to provide functionality.

Modario does not use user content to train generalized AI models.

9. Acceptable Use

You agree not to:

• Violate laws or regulations;
• Upload unlawful, fraudulent, abusive, threatening, defamatory, or harmful content;
• Upload content that infringes intellectual property rights;
• Harass, stalk, or abuse other users;
• Interfere with the Service;
• Attempt unauthorized access;
• Reverse engineer the Service except where prohibited by law;
• Circumvent security measures;
• Introduce malware or harmful code;
• Scrape or harvest user information without authorization.

We may remove content or suspend accounts that violate these Terms.

10. Social Features

Users may:

• Create public handles;
• Search for other users by handle;
• Share outfits;
• Participate in events;
• Create public invitation links.

You understand that information shared publicly may be visible to others.

You are solely responsible for the content you choose to share.

11. Affiliate Links, Sponsored Content, and Partnerships

Modario may display:

• Affiliate links;
• Sponsored content;
• Brand partnerships;
• Promotional placements;
• Marketplace offerings.

We may receive compensation, commissions, referral fees, or other consideration from these arrangements.

The presence of sponsored or affiliate content does not constitute a guarantee, endorsement, or warranty of any product or service.

12. Subscriptions and Billing

Certain features may require a paid subscription.

Subscriptions may be purchased through:

• Apple App Store
• Google Play
• Other authorized payment providers

Subscriptions may automatically renew unless canceled.

Billing, refunds, cancellations, and payment processing are governed by the policies of the applicable payment provider.

Where purchases are made through Apple or Google, refunds are generally handled by the respective platform.

13. Intellectual Property

The Service and its contents, excluding User Content, are owned by Modario LLC or its licensors.

This includes:

• Software
• Designs
• Logos
• Trademarks
• Graphics
• User interfaces
• Text
• Databases
• Technology

No rights are granted except as expressly provided in these Terms.

14. Copyright Complaints

If you believe content on the Service infringes your copyright, contact:

support@modario.io

Your notice should include:

• Identification of the copyrighted work;
• Identification of the allegedly infringing content;
• Contact information;
• A statement of good-faith belief;
• A statement made under penalty of perjury that the information is accurate and that you are authorized to act on behalf of the copyright owner.

We may remove allegedly infringing content and take appropriate action.

15. Suspension and Termination

We may suspend, restrict, or terminate access to the Service if:

• You violate these Terms;
• We reasonably believe your conduct creates risk or liability;
• We are required to do so by law.

Where appropriate, we may provide notice and an opportunity to appeal.

Users may contact support@modario.io to submit an appeal.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODARIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• RELIABILITY
• AVAILABILITY

We do not guarantee uninterrupted or error-free operation.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODARIO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES;
• INCIDENTAL DAMAGES;
• SPECIAL DAMAGES;
• CONSEQUENTIAL DAMAGES;
• EXEMPLARY DAMAGES;
• LOSS OF PROFITS;
• LOSS OF REVENUE;
• LOSS OF DATA;
• LOSS OF GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODARIO'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(A) ONE HUNDRED U.S. DOLLARS ($100); OR

(B) THE AMOUNT PAID BY YOU TO MODARIO DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification

You agree to defend, indemnify, and hold harmless Modario, its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from:

• Your use of the Service;
• Your User Content;
• Your violation of these Terms;
• Your violation of any law or third-party rights.

19. Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY.

Except where prohibited by applicable law, any dispute arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration.

Arbitration shall:

• Be administered by a recognized arbitration provider selected by Modario;
• Occur in New Jersey unless otherwise required by law;
• Be conducted in English.

The arbitrator shall have exclusive authority to resolve disputes concerning interpretation, applicability, or enforceability of this arbitration provision.

20. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

YOU AND MODARIO AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN:

• CLASS ACTIONS;
• CLASS ARBITRATIONS;
• REPRESENTATIVE ACTIONS;
• COLLECTIVE PROCEEDINGS.

21. Consumer Rights

Nothing in these Terms limits or excludes any consumer rights that cannot be waived under applicable law.

If you reside in a jurisdiction that provides mandatory consumer protections, those protections remain available to you.

22. Governing Law

These Terms shall be governed by and construed under the laws of the State of New Jersey, United States, without regard to conflict-of-law principles.

23. Changes to These Terms

We may modify these Terms from time to time.

When material changes are made, we may provide notice through the Service or by other reasonable means.

Continued use of the Service after revised Terms become effective constitutes acceptance of the revised Terms.
